LHH is partnering with a highly respected law firm in Chicago to identify an experienced
Corporate Paralegal to support a growing Corporate/M&A practice. This is an excellent opportunity to join a collaborative team and work on sophisticated transactions for a diverse client base ranging from entrepreneurial businesses to large national companies.
What You'll Do- Support mergers & acquisitions and other corporate transactions
- Manage due diligence processes, virtual data rooms, and transaction closings
- Draft corporate resolutions, entity formation documents, and governance materials
- Prepare and file Form D, Blue Sky, UCC, and related corporate filings
- Maintain corporate records and entity management databases
- Prepare electronic closing binders and post-closing documentation
- Communicate directly with clients, attorneys, and third parties
- Assist with ongoing corporate governance and compliance matters
Qualifications- 5+ years of Corporate Paralegal experience
- Strong experience supporting M&A and corporate transactions
- Experience with entity formations, governance, and corporate filings
- Knowledge of due diligence and closing processes
- Excellent organizational, communication, and project management skills
- Ability to manage multiple priorities in a fast-paced environment
- Billable requirement is 1,300 annually
Preferred Background- Law firm experience supporting corporate practice groups
- Sophisticated in-house corporate paralegal experience
- Chicago market experience
- Stable work history with demonstrated longevity
Work Environment- Flexible hybrid schedule
- Typically only one day per week in the office
- Collaborative team supporting a dynamic corporate practice
