Corporate Paralegal
Chicago, IL | Hybrid Schedule
$110,000-$120,000 + Bonus Opportunity
LHH is partnering with a highly respected law firm in Chicago to identify an experienced Corporate Paralegal to support a growing Corporate/M&A practice. This is an excellent opportunity to join a collaborative team and work on sophisticated transactions for a diverse client base ranging from entrepreneurial businesses to large national companies.
What You'll Do
  • Support mergers & acquisitions and other corporate transactions
  • Manage due diligence processes, virtual data rooms, and transaction closings
  • Draft corporate resolutions, entity formation documents, and governance materials
  • Prepare and file Form D, Blue Sky, UCC, and related corporate filings
  • Maintain corporate records and entity management databases
  • Prepare electronic closing binders and post-closing documentation
  • Communicate directly with clients, attorneys, and third parties
  • Assist with ongoing corporate governance and compliance matters
Qualifications
  • 5+ years of Corporate Paralegal experience
  • Strong experience supporting M&A and corporate transactions
  • Experience with entity formations, governance, and corporate filings
  • Knowledge of due diligence and closing processes
  • Excellent organizational, communication, and project management skills
  • Ability to manage multiple priorities in a fast-paced environment
  • Billable requirement is 1,300 annually
Preferred Background
  • Law firm experience supporting corporate practice groups
  • Sophisticated in-house corporate paralegal experience
  • Chicago market experience
  • Stable work history with demonstrated longevity
Work Environment
  • Flexible hybrid schedule
  • Typically only one day per week in the office
  • Collaborative team supporting a dynamic corporate practice
