Corporate Paralegal for a direct-hire opportunity in Illinois. This position is ideal for a detail-oriented legal professional with experience supporting corporate governance, business entity management, compliance, and transactional matters.
Responsibilities- Manage corporate entity formations, amendments, qualifications, and dissolutions.
- Maintain minute books, corporate records, and governance documentation.
- Support mergers and acquisitions, corporate finance, and transactional matters.
- Coordinate due diligence efforts and manage closing documentation.
- Prepare and file UCC financing statements and related corporate filings.
- Assist with regulatory compliance and corporate maintenance requirements.
- Conduct research related to corporate governance and compliance matters.
- Communicate effectively with attorneys, clients, vendors, and stakeholders.
Qualifications- 3+ years of corporate paralegal experience.
- Experience supporting corporate transactions and entity management.
- Knowledge of corporate governance and compliance requirements.
- Strong organizational and communication skills.
- Experience with M&A, due diligence, and transactional support preferred.
- Familiarity with Carta and CTA filings is a plus.
Compensation & Benefits- $85,000 - $130,000 annual salary
